Directors' Statement in regards to TangoTang's Reward Program Policy

Dear directors,
 
I understand you have launched a reward programme to directors in consideration of your effort in serving the Club.  The programme was discussed and agreed by yourselves in a Directors' meeting and the meeting's outcomes were posted on TangoTang's website on Aug 17 & Sep 13, 2009.

 

However, such reward programme to directors is in violation to Section 33 of the Club's Articles of Association which specifically states "No remuneration shall be payable to any director in respect of his services as a director...".

And, under Section 161 of the Companies Ordinance, provides that remuneration or "emoluments", in relation to a director, includes fees and percentages,...and the estimated money value of any other benefits received by him otherwise than in cash.

 
To make sure you are running the Club according to the rules lay down by the Club's Articles of Association and the the law set by the Companies Ordinance, I would like you to hold an Extraordinary General Meeting so that members can come and discuss and rectify your reward programme and actions.

Thank you Daisy for raising this issue, and in accordance of Memorandum of Association and Articles of Association, TangoTang Reward Program launched in 2009 is in compliance with TangoTang policy.  Please note the following for further details:

Section 33 of the Club's Articles of Association
No remuneration shall be payable to any Director in respect of his services as a Director of the Company but the Board of Directors may pay to any Director all travelling, hotel and any other reasonable expenses incurred by him in consequence of his attending and returning from meetings of the Directors, or any committee of the Directors, or general meetings or otherwise in or about the business of the Company.

TangoTang directors currently receive no remuneration as roles of board of directors.

M & A 22. Directors are allowed to give pensions, gratuities, or charitable aid to any person who may have served the Company, to make payments towards insurance; and contribute to provident and benefit funds for the benefit of any persons employed by the Company.

M & A Forth: The income and property of the Company, whencesoever dervied, shall be applied solely towards the promotion of the objects of the Company as set forth in this Memorandum of Company; and no portion thereof shall be paid or transferred directly or indirectly, by way of dividend, bonus or otherwise howsoever by way of profit, to the members of the Company, provided that nothing herein shall prevent the payment in good faith of reasonable and proper remuneration to any officer or servant of the Company or to any member of the Company in return for any service [(other than services as a Director)] actually rendered to the Company.

TangoTang directors are in compliance with TangoTang policy for approving Reward Program to Managing Committees including project teams, Club Officers and other staff for such contributions made to benefit the Club.  Therefore, calling an extraordinary meeting to rectify action is not required. 
However, in order to have a better understanding of this reward system, directors have revised the Reward Program to change the following terms:

  • Original: Directors - complimentary to all milonga related events
  • Revised: Directors - complimentary to related milongas if assisting organizing the events as project team members

Directors welcome feedback from all members to improve Reward Program to better serve the benefits of the Club.

TangoTang apologizes to have published your email without permission which may have caused you and the community discomfort. We hope to move pass this issue and focus on the projects with harmony. It's time to have fun dancing. I have resigned my duties as project directors for both Andres & Isabel project and Alejandra & Adrian project so I will not participate in the reward program. Clement will replace my role and work closely with you and the project teams. Please let us know if you have any questions.

3. Clement's duty you have missed
To Daisy, 
 
The 12 classes are a gift from Becky to me, and she could have given that to you or anyone, only that you already have the whole workshop 25 classes yourself for free as a sign of appreciation for your service to the club. And although I am not mentioned as one of the member in this project according to you, but you have cc the discussions by email to directors@tangotang.com (i.e. Becky, Rebecca and myself) right from the beginning, only when I give advice and opinion on the project, you had rejected most if not all of my suggestions. I allowed that to happen as I was trying to give you ownership to the project and working as a team. You are the project manager but after all, I am still the director of the club and is obligated and have the legal liability to look after all aspect of the club operation, and yes I should be mentioned as one of the project team member supervising you and the team. 
 
For the record, I am the treasurer and also in charge of the tangotang website, hence I do spending many hours working on marketing, book keeping, printing & distributing flyers & marketing material, banking in cheques, dealing with payment for studio, milonga venue & artist fee etc. All of these are done for this project. 
 
I am grateful for any free class, milonga or workshop given to me as a sign of appreciation for the service I provide to the club and I am proud to receive it. 
 
I suggest we shall spend our time and energy to contribute to something more beneficial, move on and not dwelling on this issue again and again. Let's be thankful and celebrate a happy Chinese New Year soon.

4. remuneration
Dear directors: 
According A y I's project, director Clement Siu who is not project team but have 12 free group class (HK$140. each) 1 free Grand Milonga (HK$150.) and 1 free Farewell Milonga (HK$70.),worth total HK$1900. If this is not remuneration, what is it then?

5. Feedback on Reward Program
Due to recent discussions, the directors have received varioius feedback from members on how to best improve the Reward Program. Please note that directors are consolidating the proposals for better structure of the program and will release more information when ready. If any member has further recommendations relating to the program, please email to directors@tangotang.com. Thank you!
